Structuring and documenting asset finance transactions can be complex, involving a number of jurisdictions, often with competing legal and tax systems.

Representative experience

Advised Norwegian Air Shuttle ASA on its Aircraft Finance Insurance Co (AFIC)-backed financing of six B737Max8 aircraft, the first time Norwegian used AFIC financing.

Acted for Pembroke Capital on the sale and novation to Goshawk Aviation of a portfolio of eight aircraft on lease to a number of different airlines, including Norwegian, South African Airways, and Vueling.

Advised the UK Department for Transport on the refinancing of Phase II of its £7.2bn Intercity Express Programme for the procurement of rolling stock.

Advised SMBC on the procurement of new Hitachi trains for the Abellio Scotrail franchise.

Advised Société Générale and a pool of lenders on the restructuring of 14 financial leases and related loan financings to a major oil and gas operator.

Advised Lombard on the circa £170m procurement, financing, leasing, and maintenance of circa 75 CAF sleeper coaches for Serco Caledonian.

Advised DVB Bank on a US$400m warehouse facility for the acquisition of a portfolio of more than 20 aircraft on lease to a range of airlines.

Advised SMBC on US$47.65 of mezzanine financing for two LNG vessels for a European operator.

Advised Arab Petroleum Investments Corporation and Tufton Oceanic in relation to the establishment of the US$150m APICORP Petroleum Shipping Fund and the financing for and acquisition of five petroleum tankers.
